Assay – Terms of Service

1. Agreement to Terms
By accessing or using Assay ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
Important: Assay is a personal project provided "as is" for individual, non-enterprise use. It is not offered as a commercial or enterprise-grade service.
2. Use of the Service
Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Upload copyrighted material without authorization
- Upload malicious files, viruses, or harmful code
- Attempt to gain unauthorized access to the Service or its infrastructure
- Interfere with or disrupt the Service
- Use the Service for illegal or unauthorized purposes
- Impersonate any person or entity
3. Document Uploads & Responsibilities
You are responsible for:
- Ensuring you have the right to upload and process documents
- Complying with copyright and intellectual property laws
- Not uploading sensitive personal information of others without consent
- Respecting document size limits (currently 5 MB per document)
You acknowledge that the Service performs automated analysis and summarization and does not verify the legal status or sensitivity of uploaded content.
4. Data Handling & Retention
Assay is designed with data minimization as a core principle.
- Uploaded PDF documents are processed transiently to extract text and generate summaries, keywords, and thematic classifications.
- Assay does not retain original PDF files after processing is complete.
- The Service retains only derived data, which may include:
- AI-generated summaries
- Extracted keywords
- Theme classifications
- Associated metadata required to operate the Service
You may delete your retained data at any time through the Service. Upon account deletion, retained derived data will be removed, subject to temporary backups or legal obligations.
5. Intellectual Property
Your Content
You retain ownership of any documents you upload.
You grant Assay a limited, non-exclusive license to process your uploaded content solely for the purpose of providing the Service.
Derived Outputs
Summaries, keywords, themes, and other derived outputs generated from your documents are provided for your use. You retain rights to these outputs. Assay does not claim ownership over them.
Service Content
The Assay service, including its design, software, and underlying systems, is owned by Cirrusly Clever and protected by applicable intellectual property laws.
6. AI-Generated Content Disclaimer
AI-generated outputs may be inaccurate, incomplete, or misleading.
You are solely responsible for reviewing and validating outputs before relying on them for any purpose.
Assay does not guarantee the correctness, completeness, or suitability of AI-generated content.
7. Service Availability
The Service is provided on a best-effort basis. We do not guarantee uninterrupted or error-free operation.
We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time without notice.
8. Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
To the maximum extent permitted by law, Cirrusly Clever shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, use, goodwill, or profits, arising from your use of the Service.
You are responsible for maintaining your own backups of any important information.
9. Account Termination
We reserve the right to suspend or terminate access to the Service if you violate these Terms or applicable laws.
You may delete your account at any time. Upon deletion, your retained derived data will be removed as described above.
10. Third-Party Services
The Service relies on third-party services (including cloud infrastructure and AI model providers). Your use of the Service is also subject to the terms of those providers.
We are not responsible for the availability, accuracy, or practices of third-party services.
11. Indemnification
You agree to indemnify and hold harmless Cirrusly Clever and its operators from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date. Continued use of the Service constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of the jurisdiction in which the Service operator is located, without regard to conflict-of-law principles.
14. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
